Our corporate attorneys counsel clients in all aspects of formation or conversion of business entities. We counsel our clients in the selection of the appropriate business entity, including S corporations, C corporations, limited liability companies, limited partnerships, and limited liability partnerships. We prepare and file the documents necessary to establish the governance structures for our clients’ business entities.

Our corporate attorneys advise clients on important aspects of business and corporate law that affect the creation and operation of businesses. Our team assists clients with governance matters, advises clients on capital structure and voting matters, and assists clients with corporate restructuring.

Our attorneys also act as “general counsel” to many closely held business clients. We assist our clients with the preparation and negotiation of contracts with employees, vendors, and other third parties. Our labor and employment attorneys work with our corporate practice group to draft and negotiate employment agreements, non-competition and non-solicitation agreements, and to address other employment law matters.

We represent clients in business transactions involving the purchase and sale of businesses, including mergers, acquisitions, joint ventures and other strategic business alliances. We assist clients with all aspects of business transactions, including the structure of the transaction, negotiation of letters of intent, confidentiality agreements and transaction documents. We guide our business clients through the due diligence process and assist them in obtaining the consents and approvals required to consummate their transactions.

Wadleigh represents lenders and borrowers in a variety of lending transactions, including asset-based financing transactions, lease financing and equipment financing, and real estate-based financing. We assist clients in structuring the deal, negotiating terms, drafting documents, and closing.
